Terms of Service

These Terms of Service ("Terms") govern access to and use of the HEBES Intelligence website, the Meval software platform, and related services provided by HEBES Intelligence ("HEBES", "we", "us", or "our").
Certain professional services, including independent Measurement & Verification ("M&V") engagements, may also be governed by a separate proposal, engagement letter, Statement of Work ("SOW"), or services agreement. If there is a conflict between these Terms and a separately executed agreement, the separately executed agreement will prevail with respect to the services covered by that agreement.
1. Acceptance of Terms
By accessing our website, creating an account, subscribing to the Meval platform, or using our services, you agree to these Terms. If you use our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the applicable services.
2. Our Services
HEBES Intelligence provides services that may include:
- Independent Measurement & Verification services, including baseline development, savings estimation, verification of energy performance, analysis of non-routine events, and performance reporting.
- Ongoing energy savings and performance monitoring services.
- Access to the Meval software platform for building energy data analysis, modeling, savings estimation, uncertainty analysis, visualization, and reporting.
- Professional advisory services related to M&V methodology, data quality, energy performance, modeling, and interpretation of analytical results.
- Informational and educational content, including articles, technical materials, white papers, training content, and newsletters.
The specific scope, methodology, assumptions, deliverables, schedule, and fees of a professional engagement will be defined in the applicable proposal, SOW, engagement letter, or services agreement.
We may improve, modify, replace, or discontinue features of the website or Meval platform from time to time. Material changes affecting paid subscriptions will be handled in accordance with applicable law and any applicable subscription agreement.
3. Independent M&V Services
When engaged to provide independent M&V services, HEBES performs its analysis using the available data, documented assumptions, applicable methodologies, and professional judgment.
Our conclusions are developed independently and are not controlled by contractors, Energy Service Companies ("ESCOs"), equipment manufacturers, technology suppliers, or other parties whose performance claims may be evaluated as part of an engagement.
HEBES will disclose known material conflicts of interest that could reasonably be expected to affect the independence of a specific professional engagement.
Unless expressly agreed otherwise in writing, our services do not constitute a financial audit, legal opinion, investment recommendation, equipment certification, or guarantee of future energy performance.
4. Nature and Limitations of M&V Results
Measurement & Verification estimates energy savings by comparing measured energy use with an estimate of the energy that would have been consumed in the absence of an intervention. This counterfactual energy consumption cannot be directly observed after the intervention and must therefore be estimated using appropriate analytical methods.
M&V results may depend on factors including data availability, data quality, measurement accuracy, the selected baseline period, modeling assumptions, operating conditions, changes in building use, and the treatment of non-routine events.
Where appropriate, HEBES may quantify and communicate uncertainty associated with savings estimates. No M&V result should be interpreted as a guarantee that future savings will equal historical verified savings or projected performance.
5. Platform Outputs and Professional Deliverables
The Meval platform may generate automated calculations, models, estimates, charts, reports, alerts, recommendations, and other analytical outputs ("Platform Outputs").
Platform Outputs generated through self-service use of Meval do not, by themselves, constitute an independent verification opinion, professional certification, or formal M&V conclusion issued by HEBES Intelligence.
A report, verification opinion, or other analytical result will be considered a professional deliverable of HEBES Intelligence ("Professional Deliverable") only when it has been explicitly prepared, reviewed, or issued by HEBES under a professional services engagement.
Users may not represent Platform Outputs as having been independently verified, certified, approved, or endorsed by HEBES Intelligence unless HEBES has expressly confirmed this in writing.
6. Client Responsibilities and Data Quality
The quality and reliability of our analyses depend on the information and data available to us. Clients and users are responsible for:
- Providing information and data that are accurate and complete to the best of their knowledge.
- Ensuring that they have the necessary rights and permissions to provide data and documents to HEBES or upload them to the Meval platform.
- Informing HEBES of known material changes in building use, occupancy, schedules, equipment, control strategies, operating practices, floor area, or other conditions that may affect energy consumption.
- Informing HEBES of known meter failures, sensor problems, missing data, data-processing changes, or other known data-quality issues.
- Providing reasonable access to relevant personnel, documentation, and information where required by the agreed scope of a professional engagement.
M&V results are dependent on the completeness, accuracy, temporal coverage, and quality of the available data. HEBES does not guarantee that inaccurate, incomplete, manipulated, or misleading source data can always be identified through analytical methods.
7. Meval Accounts and Authorized Use
Meval services require a registered account. You are responsible for maintaining the confidentiality of your account credentials and for activities performed through your account.
You must provide accurate account information and promptly notify us if you become aware of unauthorized access to or use of your account.
Subject to payment of applicable fees and compliance with these Terms, HEBES grants subscribers a limited, non-exclusive, non-transferable, and revocable right to access and use the Meval platform for their internal business purposes during the applicable subscription term.
Account access may not be shared with unauthorized users or used to provide access to the platform as a service bureau, resale service, or competing platform unless expressly authorized by HEBES in writing.
8. Subscriptions, Fees, and Cancellation
Paid access to Meval may be offered through subscription plans or individually agreed commercial arrangements. Applicable fees, billing periods, included services, usage limits, and payment terms will be presented at the time of purchase or specified in the applicable order, proposal, or agreement.
Unless otherwise stated in the applicable commercial terms, fees are exclusive of taxes that may be legally applicable.
Subscription renewal, cancellation, and refund conditions will be governed by the terms presented at the time of purchase and applicable law.
We may suspend access to paid services for material breach of these Terms, misuse of the platform, security risks, or non-payment of undisputed amounts, subject to any notice or cure periods required by applicable law or a separate agreement.
9. Acceptable Use
You agree not to:
- Use the website, platform, or services for unlawful or fraudulent purposes.
- Attempt to gain unauthorized access to systems, accounts, infrastructure, or data.
- Interfere with the availability, security, or operation of the website or platform.
- Upload malicious code or knowingly introduce harmful content.
- Reverse engineer, decompile, copy, or attempt to extract the source code of the platform except where such restriction is prohibited by applicable law.
- Use the platform or its outputs to develop, train, or materially improve a competing M&V software product or service without prior written permission.
- Misrepresent automated Platform Outputs as independent Professional Deliverables issued by HEBES Intelligence.
10. Customer Data
As between the customer and HEBES, the customer retains ownership of data, documents, meter readings, operational information, building information, and other materials provided to HEBES or uploaded to the Meval platform ("Customer Data").
The customer grants HEBES the rights necessary to host, process, analyze, transmit, and otherwise use Customer Data for the purpose of providing, securing, maintaining, and improving the contracted services.
Personal data will be handled in accordance with our Privacy Policy and, where applicable, a separate Data Processing Agreement.
11. Intellectual Property
HEBES and its licensors retain all rights, title, and interest in the Meval platform, software, source code, algorithms, methodologies, models, workflows, templates, documentation, website content, branding, and other pre-existing intellectual property.
Except for the limited rights expressly granted under these Terms or a separate written agreement, no intellectual property rights are transferred to users or clients.
Rights to use Professional Deliverables, project-specific reports, charts, exports, and other commissioned materials will be governed by the applicable professional services agreement or SOW. Unless otherwise agreed, clients may use final Professional Deliverables for their internal business purposes and for the specific purpose for which the deliverable was commissioned.
12. Confidentiality
In connection with professional services, each party may receive non-public commercial, technical, operational, or financial information belonging to the other party.
HEBES will use confidential client information only for the purposes of providing the agreed services and will take reasonable measures to protect it against unauthorized use or disclosure.
More detailed confidentiality obligations may be established in a separate services agreement, SOW, or non-disclosure agreement.
13. Third-Party Data and Services
Our services may rely on or interact with third-party systems and data sources, including weather services, utility data, building management systems, meter data, cloud infrastructure, external APIs, and other technical services.
HEBES is not responsible for inaccuracies, interruptions, or failures caused by third-party systems or data sources outside our reasonable control. Where third-party data materially affect a professional analysis, their role and limitations may be documented in the applicable deliverable.
Our website may also contain links to third-party websites. HEBES is not responsible for their content, availability, terms, security, or privacy practices.
14. Service Availability
We aim to provide reliable access to the Meval platform but do not guarantee uninterrupted or error-free availability unless a specific service level commitment has been agreed in writing.
Access may occasionally be interrupted for maintenance, security updates, infrastructure changes, emergencies, or events outside our reasonable control.
15. Disclaimers
Except as expressly provided in a separate written agreement and to the extent permitted by applicable law, the website and Meval platform are provided on an "as available" basis.
HEBES does not warrant that every analytical model will be suitable for every building, dataset, intervention, or decision context. The suitability of an M&V methodology depends on the circumstances of the relevant project, available data, and intended use of the results.
Professional Deliverables are prepared for the purpose and scope defined in the relevant engagement. Unless expressly agreed otherwise, they should not be relied upon for purposes outside that scope.
16. Limitation of Liability
To the fullest extent permitted by applicable law, HEBES will not be liable for indirect, incidental, special, punitive, or consequential damages, or for loss of profits, revenue, business opportunities, goodwill, or anticipated savings, arising from or related to the use of the website, platform, or services.
To the fullest extent permitted by applicable law, HEBES is not responsible for losses resulting from inaccurate or incomplete Customer Data, undisclosed changes in building conditions or operations, third-party system failures, or use of an analysis or deliverable outside its agreed purpose.
Unless a separate written agreement provides otherwise, and to the fullest extent permitted by applicable law, the aggregate liability of HEBES arising out of or relating to a paid service will not exceed the fees paid by the customer to HEBES for the specific service giving rise to the claim during the twelve months preceding the event giving rise to liability.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
17. Suspension and Termination
You may stop using the website or platform at any time. Subscription cancellation will be governed by the applicable subscription terms.
HEBES may suspend or terminate access where a user materially breaches these Terms, fails to pay undisputed amounts when due, creates a security risk, uses the services unlawfully, or misuses the platform or HEBES intellectual property.
Where reasonably practicable and legally appropriate, we will provide notice and an opportunity to remedy a remediable breach before termination.
18. Newsletter and Communications
If you subscribe to our newsletter or other marketing communications, you may unsubscribe at any time using the unsubscribe mechanism included in the relevant communication.
Service-related communications that are necessary for account administration, security, billing, or delivery of contracted services may still be sent where appropriate.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of Greece, without regard to conflict-of-law principles.
Subject to any mandatory provisions of applicable law, disputes arising out of or relating to these Terms shall be subject to the jurisdiction of the competent courts of Greece, unless a separate written agreement provides otherwise.
20. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The updated version will be posted on this page with a revised "Last updated" date.
Where required by applicable law or where changes materially affect paid services, we will provide additional notice as appropriate.
